Terms of Use

These terms explain the rules for using Meridian's website and distinguish website use from separately agreed professional services.

Last updated: August 30, 2026Estimated read time: 14 minApplies to mrdn.digital

Draft. This document is still being finalized and is not in effect yet.

At a glance

  • These Terms govern the website; paid services remain subject to a proposal, statement of work, services agreement, payment schedule, or other approved engagement document.
  • Website content is general information and does not by itself create an adviser, client, fiduciary, employment, or partnership relationship.
  • Project scope, deliverables, timing, price, payment, ownership, confidentiality, support, cancellation, and warranties must be confirmed before work begins.
  • Users may access the website for lawful purposes but may not disrupt it, misuse its content, impersonate others, or extract data through unauthorized automation.

1. Website operator and acceptance

This website is operated by Meridian. The legal entity responsible for the website will be identified in the operator details when confirmed.

By accessing or using the website, you agree to these Terms of Use to the extent permitted by applicable law. If you do not agree, do not use the website.

If you use the website for an organization, you represent that you are authorized to act for that organization. In that case, references to you include the organization where appropriate.

2. Scope of these Terms and contract priority

These Terms govern access to the public website, its content, inquiry forms, project-evaluation flows, and website-based payment interactions.

They do not by themselves govern the delivery of Meridian's professional services. Paid work should be covered by an accepted proposal, statement of work, master services agreement, order form, payment schedule, or other written engagement document.

If an engagement document conflicts with these Terms on a matter relating to paid services, the engagement document controls for that matter. The Privacy Notice and Cookie Policy govern the handling of personal information and website technologies.

3. Eligibility and authority

The website is intended for adults and people acting for legitimate business purposes. You must be legally able to agree to these Terms and must not use the website if applicable law prohibits you from doing so.

You are responsible for access through your device, network, and credentials and for ensuring that people using the website through your connection understand these Terms.

4. General information, not professional advice

Website materials describe Meridian, its capabilities, methods, perspectives, service packages, and examples. They are provided for general business and informational purposes.

Website content is not legal, tax, accounting, financial, investment, employment, cybersecurity, regulatory, or other independently licensed professional advice. You should obtain advice appropriate to your circumstances before making a decision that requires it.

Viewing content, contacting Meridian, or receiving an initial response does not create a client, adviser, fiduciary, employment, agency, joint-venture, or partnership relationship.

5. Service descriptions, availability, and pricing

Service descriptions, deliverables, timelines, maturity levels, examples, price ranges, starting prices, retainers, and outcomes on the website are planning information, not a binding offer or guarantee.

Actual scope, staffing, assumptions, dependencies, client responsibilities, schedule, fees, taxes, expenses, payment milestones, support, and outcomes depend on evaluation and written agreement.

Meridian may accept, reject, or request changes to an inquiry based on fit, capacity, timing, conflicts, risk, or other legitimate business considerations, subject to applicable law.

6. Project evaluation and service agreements

A project must be evaluated before payment or work begins. Meridian will confirm the approved scope, deliverables, timeline, total price, payment schedule, assumptions, and acceptance process in writing.

No project is reserved and Meridian has no obligation to begin work until the required engagement document is accepted and any required initial payment is received and cleared.

Requests outside the approved scope should be documented and may require a change order, revised timeline, additional fees, or a separate engagement.

Estimates and projected outcomes depend on the information, access, decisions, content, approvals, cooperation, and third-party systems supplied by the client. Unless expressly agreed, they are not guarantees of revenue, traffic, ranking, conversion, cost savings, funding, regulatory approval, or other results.

7. Payments, taxes, cancellations, and refunds

Website payment options are available only after Meridian approves a project. Payment authorizes only the scope or milestone identified in the applicable engagement document.

Payments may be processed by an independent payment provider and may be subject to that provider's terms and privacy notice. You represent that you are authorized to use the selected payment method and that billing information is accurate.

Fees, currencies, taxes, expenses, due dates, late-payment consequences, cancellations, pauses, rescheduling, refunds, and chargeback handling must be stated in the applicable engagement document or payment terms. A website payment does not create a different refund right from the one stated in those documents or required by law.

Do not initiate an improper chargeback for a payment you authorized. Contact Meridian first so a billing concern can be investigated without limiting any non-waivable rights.

Content Momentum subscription operating terms

Content Momentum is a monthly subscription with a three-month minimum commitment. The subscription is billed in advance at USD 1,250 per month, creating a minimum initial engagement of USD 3,750. After the initial commitment, it continues on a monthly basis unless cancelled under these terms.

  • Twelve production credits are issued at the start of each paid monthly billing cycle. Credits may be used only for the approved deliverable menu and within Meridian's then-current production capacity.
  • Unused credits may roll into the next billing cycle only, up to a maximum of twelve carried-over credits. Carried-over credits expire at the end of that next cycle and have no cash value.
  • The subscription cannot be cancelled during the initial three-month commitment. After that period, cancellation requires at least 30 days' written notice and takes effect at the end of the final paid billing cycle.
  • Monthly subscription charges are non-refundable after a billing cycle begins, except where a refund is required by applicable law.
  • If a payment fails, Meridian or its payment provider may retry the payment. Meridian may decline new production requests while payment is overdue and may pause scheduled publishing and other subscription work after seven days. If payment remains outstanding for 14 days, Meridian may cancel the subscription and unused credits may expire.
  • Reactivation is subject to payment of overdue balances and Meridian's available production capacity.

Taxes and checkout acceptance

Unless clearly stated otherwise at checkout or on an invoice, quoted subscription prices exclude applicable taxes. Meridian may use its payment provider to calculate, collect, and remit taxes it is legally required to charge. A customer seeking a tax exemption must provide valid documentation before checkout or invoice issuance.

  • Before a subscription purchase is completed, the checkout flow must require the purchaser to affirmatively accept the current Terms of Use, Privacy Notice, and Refunds and Cancellations Policy.
  • Meridian may retain the accepted policy version, acceptance timestamp, transaction and subscription identifiers, selected plan, price, currency, billing details, and technical transaction data as necessary to administer the subscription, demonstrate acceptance, resolve disputes, and comply with law.

8. Website access, availability, and changes

The website is generally provided without charge. Access may be interrupted, delayed, restricted, suspended, or discontinued for maintenance, security, legal, technical, or business reasons.

Meridian may add, remove, correct, redesign, or update content and features without notice. Meridian does not promise that every page, feature, link, file, or integration will always be available, compatible, current, or error-free.

You are responsible for the devices, software, connectivity, security controls, and costs required to use the website.

9. Permitted use

Meridian grants you a limited, revocable, non-exclusive, non-transferable right to access and use the public website for lawful personal or internal business purposes in accordance with these Terms.

  • You may view, download, or print reasonable extracts for your own reference or internal evaluation.
  • You must preserve copyright, trademark, attribution, and other proprietary notices.
  • You may quote short extracts with appropriate attribution when allowed by law.
  • No other license or ownership right is granted unless Meridian provides written permission.

10. Prohibited conduct

You must not use the website in a way that is unlawful, fraudulent, abusive, harmful, deceptive, or inconsistent with these Terms.

  • Gain or attempt unauthorized access to the website, accounts, systems, data, or networks
  • Introduce malware, destructive code, excessive traffic, denial-of-service activity, or security-testing tools without written authorization
  • Bypass access controls, usage limits, robots instructions, or other technical restrictions
  • Scrape, crawl, harvest, reproduce, index, or extract content or data through automation for commercial use, model training, dataset creation, or republication without written permission, except for ordinary public search-engine indexing or activity that cannot lawfully be restricted
  • Copy, modify, translate, reverse engineer, frame, mirror, republish, sell, sublicense, or create derivative works from protected website content without permission or a legal right
  • Impersonate another person or organization or misrepresent an affiliation, endorsement, authority, source, or identity
  • Collect personal information about others without authorization
  • Submit material that is illegal, infringing, defamatory, threatening, discriminatory, obscene, deceptive, or invasive of another person's rights
  • Interfere with another person's use of the website or Meridian's operation of it
  • Use the website to compete unfairly, misappropriate Meridian's work, or imply a relationship with Meridian that does not exist

11. Intellectual property and brand rights

The website and its text, visual design, graphics, illustrations, photographs, video, audio, code, interfaces, data compilations, methodologies, documents, downloads, trademarks, service marks, logos, and other content are owned by or licensed to Meridian and are protected by applicable intellectual-property laws.

Meridian and its related names, marks, logos, service names, and trade dress may not be used in a way that suggests affiliation, sponsorship, approval, or endorsement without prior written permission.

Third-party names and marks remain the property of their respective owners. Their appearance does not imply endorsement unless expressly stated.

Ownership and licensing of work created for a client are governed only by the applicable engagement document, including any conditions tied to full payment and any pre-existing tools, templates, methods, or third-party materials.

12. Information, materials, and feedback you submit

Accuracy and authority

You represent that information you submit is reasonably accurate, that you are authorized to provide it, and that Meridian's permitted use will not violate another person's rights or law.

Limited operational license

You grant Meridian a non-exclusive license to host, copy, transmit, review, and use submitted material only as reasonably necessary to respond to the inquiry, operate the website, evaluate or deliver requested services, maintain security and records, or comply with law. This does not transfer your ownership.

Confidential and sensitive material

Do not submit passwords, secrets, full payment-card numbers, regulated data, or confidential business material through a general form. Confidentiality obligations for project materials should be established in a nondisclosure or service agreement before disclosure.

Feedback

If you voluntarily provide general suggestions about the website or Meridian's services without a confidentiality restriction, Meridian may use that feedback to improve its business without payment to you. Meridian will not treat client-confidential materials as general feedback.

13. Linking to Meridian

You may link to a public page in a fair and lawful way that does not damage Meridian's reputation, imply an endorsement or association, or present the website in a misleading context.

You must not frame or embed the website, remove notices, link from unlawful or abusive material, or use Meridian's marks as the link presentation without permission.

Meridian may withdraw linking permission where reasonably necessary to protect the website, business, users, or legal rights.

14. Third-party websites, tools, and services

The website may link to or integrate with third-party websites, social networks, payment services, scheduling tools, maps, content, platforms, or applications. These are provided for convenience or functionality and are controlled by their respective operators.

Meridian is not responsible for independent third-party availability, security, accuracy, content, policies, or conduct and does not endorse a third party merely by linking to it.

Your use of a third-party service is governed by that provider's terms and privacy notice. Project agreements may allocate responsibility for third-party licenses, fees, accounts, data, and service changes.

15. Privacy and cookies

Meridian's Privacy Notice explains how personal information may be collected, used, disclosed, protected, retained, and managed. The Cookie Policy explains the website technologies used for essential functions, preferences, measurement, or related purposes.

By submitting information, you confirm that you have reviewed the applicable privacy information and are authorized to provide information concerning other people when relevant.

16. Security and vulnerability reports

You must not test, scan, probe, exploit, or attempt to bypass website security without prior written authorization. If you believe you found a vulnerability, report it privately through Meridian's contact channel and do not access, alter, retain, or disclose data beyond what is necessary to describe the issue.

A report does not create a right to payment, public recognition, or permission to conduct further testing unless Meridian agrees in writing.

18. Suspension, termination, and enforcement

Meridian may block, suspend, restrict, or terminate access when it reasonably believes use violates these Terms, threatens security or availability, infringes rights, exposes Meridian or others to legal risk, or is otherwise harmful or unlawful.

Where practical and appropriate, Meridian may provide notice or an opportunity to correct the issue. Immediate action may be taken when delay could increase harm.

Meridian may preserve and disclose relevant information when reasonably necessary to investigate misuse, enforce rights, comply with law, or protect people and systems, subject to the Privacy Notice and applicable law.

19. Website disclaimers

To the maximum extent permitted by applicable law, the website and its content are provided on an as-is and as-available basis without promises that they will always be uninterrupted, secure, complete, current, compatible, accurate, or error-free.

To the maximum extent permitted by law, Meridian disclaims implied warranties relating to the public website, including merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those warranties may lawfully be disclaimed.

Nothing in this section changes an express warranty contained in an applicable engagement document or excludes a warranty, remedy, or right that cannot legally be excluded.

20. Limitation of liability for website use

To the maximum extent permitted by law, Meridian will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising solely from use of or inability to use the public website, including lost profits, revenue, opportunity, goodwill, or data, where such loss was not a reasonably foreseeable direct result of Meridian's breach.

Any monetary cap for claims related to the website must be confirmed after Meridian's legal entity, jurisdiction, audience, insurance, and commercial agreements are established. No arbitrary cap is asserted in this draft.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability where applicable for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or violation of mandatory consumer rights.

Liability arising from paid services is governed by the applicable engagement document, not this website-only limitation, except where that document expressly incorporates these Terms.

21. Responsibility for unlawful misuse

To the extent permitted by law, a business user agrees to be responsible for third-party claims, losses, and reasonable costs directly resulting from that user's unlawful misuse of the website, knowing infringement of another person's rights, malicious content, or material breach of these Terms.

This section does not require a consumer to indemnify Meridian where such an obligation would be prohibited, disproportionate, or unfair under applicable law, and it does not excuse Meridian from responsibility for its own conduct.

22. Mandatory law and consumer rights

Nothing in these Terms removes a right or remedy that applicable law does not allow the parties to waive. If you are legally considered a consumer, mandatory consumer protections continue to apply.

Terms directed to business users, including provisions concerning authority, indemnity, risk allocation, and project purchasing, apply only to the extent appropriate and enforceable for the person using the website.

23. Governing law and disputes

The governing law, court venue, and any negotiation, mediation, arbitration, or other pre-litigation process must be confirmed before these Terms are published. No governing law or exclusive court is asserted in this draft.

Any final choice-of-law or forum provision will remain subject to mandatory rights and jurisdiction rules that apply to consumers or other protected parties.

Before starting formal proceedings, the parties should make a reasonable attempt to resolve a website-related concern through the contact details in these Terms, unless immediate relief is necessary or law provides otherwise.

24. General provisions

Entire agreement for website use

These Terms and the policies they expressly incorporate form the agreement concerning public website use. They do not replace a separate service agreement, nondisclosure agreement, or other signed document.

Severability

If a provision is unlawful or unenforceable, it will be limited or removed only to the minimum extent required, and the remaining provisions will continue where legally possible.

No waiver

A failure or delay in enforcing a provision is not a waiver of that provision or any other right.

Assignment

You may not transfer rights under these Terms in a way that increases Meridian's obligations without written consent. Meridian may transfer these Terms as part of a lawful business restructuring, financing, merger, acquisition, or sale, subject to applicable law.

No third-party beneficiaries

Unless expressly stated or required by law, these Terms do not grant enforcement rights to a person who is not a party to them.

Headings

Section headings support readability and do not change the meaning of the provisions.

25. Changes to these Terms

Meridian may update these Terms to reflect changes in the website, services, business, risks, or law. The last-updated date will identify the current version.

Material changes will apply prospectively from the stated effective date. Additional notice or affirmative acceptance will be provided when required by law. Continued use after an effective date may constitute acceptance only to the extent permitted by applicable law.

26. Contact Meridian

Contact Meridian with questions about the website, content, these Terms, a payment interaction, a security report, or an intellectual-property concern.

The legal name, address, legal email, telephone number, and jurisdiction must be added to the operator details before these Terms are published.
